ICHIOSHI CLUB TERMS OF SERVICE (PROVISIONAL)

*This Terms of Use is applicable during the beta test period and may be subject to change upon official launch.

1. Application and Status of Terms

These Terms of Service (hereinafter referred to as "Terms") establish the conditions for using "ICHIOSHI CLUB," a Web3-based social networking service (hereinafter referred to as "Service") provided by ReZipang ltd. (hereinafter referred to as "Operator").

These Terms are provisional and may be changed without prior notice. The Operator may revise these Terms as necessary and will notify users through appropriate methods (such as posting on the Service) when revisions are made.

These Terms apply to all users of the Service. By using the Service, users are deemed to have agreed to all provisions of these Terms.

2. Definitions

The terms used in these Terms are defined as follows:

  • Service: Refers to the Web3-based SNS "ICHIOSHI CLUB." It means a platform where users can log in using wallets and interact with and support other users.
  • Operator: Refers to "ReZipang ltd." which operates the Service.
  • User: Refers to any individual or organization using the Service.
  • Wallet: Refers to the blockchain cryptocurrency wallet used by users to log in to the Service. It is used for user identification and tracking/managing Zeny transactions.
  • Zeny: Refers to the proprietary cryptocurrency used within the Service. It is an in-service currency used as a means of payment between users.
  • Oshitemiru (Supporting): Refers to the act of a user sending Zeny to support another user (the name of the donation/tipping function on the Service).
  • Open Channel: Refers to a public channel of a user that becomes available for a certain period (30 days) when another user makes some form of payment (supporting, membership, reporting, etc.) to that user.
  • Member Channel: Refers to a limited channel that is available for a certain period (30 days) only to users who have joined a specific user's membership.
  • Direct Channel: Refers to a private channel where only users who have joined a specific user's direct channel membership can communicate one-on-one with that specific user for a certain period (30 days).
  • Member: Refers to a user who has access rights to a user's Member Channel. To become a member, one must meet the conditions set by that user (e.g., payment of a specified amount of Zeny).
  • Direct Member: Refers to a user who has access rights to a user's Direct Channel. To become a direct member, one must meet the conditions set by that user (e.g., payment of a specified amount of Zeny).
  • Genre: Refers to the category classification assigned to users on the Service. Examples include activity fields such as "Cosplayer" and "Influencer," and user rankings are compiled and published for each genre.

3. User Registration and Usage Conditions

Those who wish to use the Service shall register as users according to the method specified by the Operator. The Service adopts a login method using user-specific blockchain wallets, and users can start using the Service by connecting their wallets.

Users agree to comply with these Terms when using the Service, and are deemed to have agreed to these Terms upon commencing use of the Service.

Minors under 18 years of age must obtain prior consent from their parents or legal guardians before using the Service. If a minor user continues to use the Service after reaching the age of majority (18 years), the user is deemed to have ratified their usage during their minority.

Users shall prepare the necessary environment (compatible wallet, communication equipment, internet connection, etc.) to use the Service at their own responsibility. The Operator does not guarantee the compatibility of specific wallets or devices with the Service.

Users shall properly manage their wallet information (private keys, seed phrases, etc.) and shall not disclose or share it with third parties. Users shall not allow third parties to use their wallets, nor lend, transfer, or sell them. The Operator assumes no responsibility for any loss or damage caused by a user's insufficient wallet management or unauthorized use by third parties. If it is discovered that a user's wallet has been stolen or is being used fraudulently, the user shall promptly notify the Operator and follow any instructions from the Operator.

4. Service Content

The Service is an SNS utilizing blockchain technology, where users can mutually support each other (Oshitemiru) using Zeny, share content, and communicate on the platform. Users can interact with others through their profiles and posts, and can use the following three types of channel functions.

The overview and usage conditions for each channel are as follows:

  • Open Channel: By supporting (donating Zeny) a user on their profile, you can obtain viewing and posting rights to that user's Open Channel. These rights are valid for 30 days from the date of support, during which you can post to and view that user's Open Channel. (If you wish to continue viewing after the validity period expires, you need to support again.)
  • Member Channel: This is a limited communication channel accessible only to users who have become "Members" of a specific user. To become a member of another user, you need to meet the conditions set by that user (e.g., paying a certain amount of Zeny). Users who have become members can post to and view the target user's Member Channel. Viewing and posting rights are valid for 30 days from the date of membership subscription, during which you can post to and view that user's Member Channel. (If you wish to continue viewing after the validity period expires, you need to pay for membership subscription again.)
  • Direct Channel: This is a private communication channel for one-on-one interaction, available only to users who have joined as Direct Members of the channel creator's membership. To become a Direct Member of another user, you need to meet the conditions set by that user (e.g., paying a certain amount of Zeny). In Direct Channels, users and their Direct Members can directly exchange messages and share content. Viewing and posting rights are valid for 30 days from the date of Direct Member subscription, during which you can post to and view that user's Direct Channel. (If you wish to continue viewing after the validity period expires, you need to pay for Direct Membership subscription again.)

5. About Zeny Coin

Zeny is the only in-service currency (cryptocurrency) used within the Service. Users shall use Zeny, not legal tender or other cryptocurrencies, for all paid features on the Service (support through Oshitemiru, membership subscription fees, payments for reporting, etc.).

Users should ensure they have the necessary Zeny balance in their wallets before using the various features of the Service. The Operator does not provide Zeny sales or exchange services to users within ICHIOSHI CLUB. Users shall acquire and manage Zeny either by purchasing through Zeny sales events held by the Operator, or at their own discretion and responsibility through external exchanges or other means.

Zeny is a token issued and managed on the blockchain and is an asset that can be transferred and traded between users outside the Service. Users can directly send Zeny to other users through their wallets. However, the Operator is not involved in and takes no responsibility for Zeny transactions or transfers conducted outside the Service.

The value of Zeny may fluctuate depending on market conditions. Users shall understand the risk of value fluctuation of Zeny and hold and use it at their own judgment and responsibility. The Operator does not guarantee the future value or price of Zeny.

6. Payments Between Users and Fees

Payments between users on the Service (e.g., support funds through Oshitemiru, membership fees, Direct Channel usage fees, etc.) are direct transactions between users. The Operator merely facilitates these transactions by providing technologies such as blockchain smart contracts and is not a party to the payments.

When a user makes a payment on the Service, the sent Zeny is, in principle, immediately transferred on the blockchain to the receiving user's wallet. Except for the technical time and fees necessary for the transfer process, the Operator does not hold funds paid by users in the Operator's name.

The Operator may charge a specified transaction fee on payments between users as compensation for the smooth operation of user-to-user transactions. Currently, during the test operation period, the fee rate is 0%, but the Operator may change the fee rate at its discretion. When changing the fee rate, the Operator will inform users in advance through announcements on the Service. If fees are set, when a user executes a payment, only the remaining amount after deducting the fee based on the specified rate will be sent to the receiving user.

Payments once completed on the blockchain cannot be canceled or refunded due to their technical nature. Users should understand this point fully and operate carefully when executing payments. The Operator will not process refunds or cancellations of payments between users for any reason.

In the event of disputes or troubles between users related to payments (e.g., returns for support not being fulfilled), they shall be resolved between the parties involved, and the Operator will not be involved in such disputes. Also, as stated in the previous paragraph, the Operator cannot cancel payments in such situations.

7. Support Function and Rankings

The Service includes an "Oshitemiru" function that allows users to pay Zeny to support (oshi) other users, which operates the following ranking system:

  • Creator Rankings (by Genre): Each user is listed in rankings according to their self-set genre. Ranking positions are determined based on the cumulative amount of Oshitemiru (Zeny support) received from other users, with users receiving more support displayed higher in the genre ranking. When a user supports another user through Oshitemiru, the ranking points for the genre to which the supported user belongs increase, which is reflected in the ranking position.
  • Supporter Rankings: The Service also provides rankings for "those who support their oshi" (users who perform Oshitemiru for others). Users are ranked based on the cumulative amount of Zeny they have paid, with the users who have provided the most support displayed at the top. Supporter rankings may be compiled for all users as well as by genre.

Users can perform Oshitemiru once a day to push their favorite creators up in the rankings. The method of compiling and displaying rankings is determined at the discretion of the Operator, and the Operator does not guarantee the accuracy or continuity of ranking results.

Users shall use the ranking function in a healthy manner and shall not manipulate rankings through fraudulent means. Acts such as excessive self-support, inflating numbers using multiple fraudulent accounts, etc., are prohibited. If such fraud is discovered, the Operator may take measures such as deleting posts, removing from rankings, suspending accounts, etc., against the user in question.

8. Reporting Function

The Service has a "reporting" function that allows users to report to the Operator when they discover violations of these Terms or inappropriate content by other users. Users can report problematic users or content according to the method specified by the Operator.

To make a report, a specified amount of Zeny must be paid. When a user pays Zeny for reporting, as an incidental benefit, the reporter is granted viewing and posting rights to the reported user's Open Channel (for 30 days). That is, after completing the reporting procedure, you will be able to post to and view the reported user's Open Channel for 30 days. This benefit is automatically granted by the design of the reporting system and does not mean that the reporter is supporting the reported user.

Upon receiving a report, the Operator will promptly check the content, determine whether there is a violation of these Terms, and take necessary measures (deletion of problematic content, temporary suspension or suspension of the user's account, etc.). However, the Operator does not guarantee that violations will be corrected due to reports or that the results will be notified to the reporter. The Operator will take appropriate action at its discretion.

Zeny paid when making a report will not be refunded even if the reported content was unfounded or if the Operator did not take any particular measures. The use of the reporting function is optional for users, but given its paid nature, please make your judgment carefully so that this payment is not wasted.

Users must use the reporting function only for legitimate purposes. Abuse of the reporting function, such as false reports for harassment purposes or reports made solely to gain viewing and posting rights to Open Channels, is prohibited. If such improper reporting is discovered, the Operator may take measures such as suspending the reporter's account.

9. Prohibited Actions

Users shall not engage in the following actions when using the Service:

  1. Actions that violate laws or public order and morals, or actions related to criminal activities.
  2. Actions that infringe upon the rights (copyright, trademark rights, privacy rights, portrait rights, etc.) or interests of other users or third parties.
  3. Excessive actions such as discrimination, defamation, stalking, or harassment toward other users.
  4. Posting or displaying obscene information, excessively violent or cruel expressions, expressions suggestive of abuse, information equivalent to child pornography or child abuse, or other content harmful to minors.
  5. Posting or displaying information that may induce or encourage suicide, self-harm, or drug abuse.
  6. Using information obtained through the Service beyond the scope of personal use without permission.
  7. Conducting profit-oriented advertising, publicity, solicitation, marketing activities, etc., on the Service without the Operator's consent.
  8. Using the Service by impersonating others or disseminating false information.
  9. Opening and using multiple accounts (wallets) for fraudulent purposes by a single user.
  10. Actions that place excessive load on the Service's servers, networks, or blockchain, or actions that interfere with the operation of the Service.
  11. Reverse engineering, analyzing, modifying, or otherwise unauthorized access to the Service's software or systems.
  12. Providing benefits to or being involved with anti-social forces (organized crime groups, persons related to organized crime groups, or others equivalent to these).
  13. Political activities, election campaigns, religious activities, or similar activities on the Service.
  14. Other actions deemed inappropriate by the Operator.

If a user causes damage to the Operator or third parties as a result of any of the above actions, the Operator may claim damages from that user. Also, if the Operator determines that a user has engaged in actions that fall under prohibited items, the Operator may take measures such as deleting the user's posted content, revoking channel viewing rights, temporarily suspending or suspending the account, etc., without prior notice. The Operator assumes no responsibility for any disadvantages or damages incurred by the user due to these measures.

10. User Posted Content

Users can post or send text, images, videos, and other content (hereinafter "Posted Content") on the Service. Users shall have the necessary intellectual property rights or other legal rights to the content they post, or shall have obtained prior permission from the legitimate rights holder. Users shall not post content that infringes upon the rights of others.

The copyright and all other rights to content posted by users on the Service shall, in principle, continue to belong to the users themselves. However, users grant the Operator a non-exclusive, royalty-free license to use (reproduce, repost, process, publicly transmit, translate, etc.) the Posted Content to the extent necessary for providing, promoting, and improving the Service. This license includes the right for the Operator to quote and post such content in public relations activities for the Service, and users shall not object to this.

The Operator is not obligated to constantly monitor users' Posted Content, but if it determines that there is a violation or potential violation of these Terms, it may delete the content or restrict its publication scope without notifying the user. Users agree to these measures in advance.

Users shall bear all responsibility arising from their Posted Content. In the event of disputes with third parties regarding Posted Content, users shall resolve them at their own responsibility and expense, and shall not cause any inconvenience or damage to the Operator. The Operator does not guarantee the content of users' Posted Content in any way, nor is the Operator obligated to intervene in such disputes.

11. Disclaimer

The Operator does not explicitly or implicitly guarantee that the Service is free from factual or legal defects (including safety, accuracy, reliability, usefulness, fitness for a particular purpose, security, etc.). The Operator does not guarantee the completeness, accuracy, usefulness, or legality of information, content, or interactions between users provided on the Service.

Users shall use the Service at their own risk, and the Operator shall not be responsible for any damages incurred by users due to the use of the Service (including data loss, opportunity loss, damages due to inability to use the Service, damages due to disputes with other users, damages based on claims or demands from third parties, losses due to fluctuations in the value of Zeny, etc.).

Even if the Operator is liable for damages to a user, such liability shall be limited to direct and actual ordinary damages. In such cases, the Operator's compensation amount shall be limited to the total amount paid by the relevant user within the Service during the most recent one-month period (0 yen if the user has not made any payments within the Service). However, this shall not apply if damages are caused to the user due to the Operator's intentional act or gross negligence, or if the above liability limitation is not permitted by applicable law.

The Operator shall not be responsible for any disputes, transactions, promises, claims, etc., arising between users or between users and third parties. Problems between users shall be resolved between the parties themselves, and users should use the reporting function if necessary. The Operator shall not, in principle, be involved in their resolution.

The Operator shall not be responsible if the provision of the Service is delayed or interrupted, or if users incur damages, due to causes beyond the Operator's reasonable control (natural disasters, terrorism, conflicts, internet line or power supply failures, blockchain network malfunctions or specification changes, suspension of external services, theft or fraudulent use of users' wallets, etc.).

12. Service Interruption and Term

The Operator may temporarily suspend or stop the provision of all or part of the Service without prior notice to users in the following cases:

  1. When performing system maintenance, inspection, updates, or emergency fault response
  2. When it is difficult to provide the Service due to force majeure such as fire, power outage, earthquake, flood, war, riot, pandemic, etc.
  3. When the Service cannot be provided due to communication line or blockchain network failures, external service malfunctions, etc.
  4. Other cases where the Operator deems it unavoidable

The Operator may suspend the provision of the Service itself for a long period or terminate it (service termination) for operational reasons. When the Operator terminates the Service, it will, in principle, inform users in advance through announcements on the Service.

The Operator shall not be responsible for any damages incurred by users due to the suspension, stoppage, or termination of the Service based on this article. Also, even if users had remaining Open Channel viewing rights or Member Channel usage rights at the time of Service termination, the Operator shall not be obligated to provide refunds or compensation for their loss.

13. Changes to Terms

The Operator may change, add, or delete (revise) these Terms when deemed necessary. When revising these Terms, the Operator will announce the revised content and effective date in advance through appropriate methods such as posting on the Service.

The revised Terms shall take effect from the announced effective date unless otherwise specified. If a user continues to use the Service after the revision, that user is deemed to have agreed to the revised Terms.

If a user does not agree with the changes to the Terms, they should discontinue using the Service after the effective date of the revision. If a user uses the Service after the Terms have been revised, they will be treated as having agreed to the revision.

14. Governing Law and Agreed Jurisdiction

These Terms shall be governed by the laws of Japan. For all disputes arising in connection with the Service, the laws of Japan shall apply, and the Osaka District Court or Osaka Summary Court shall have exclusive jurisdiction as the court of first instance, depending on the amount in controversy.

15. Miscellaneous

Even if any provision of these Terms is determined to be invalid or unenforceable by law, the validity of the remaining provisions of these Terms shall not be negated and shall remain in effect.

The fact that the Operator does not require a user to perform a provision of these Terms does not mean that the Operator has waived such right.

Supplementary Provision

These Terms (provisional) will be effective from March 31, 2025. The content may be subject to change with the official release of the Service.
